Basta (“Basta” “we” “us” “our”) values its users' privacy. This Privacy Policy ("Policy") will help you understand how we collect and use personal information from those who visit our Website or make use of our online facilities and services, and what we will and will not do with the information we collect.
We reserve the right to make changes to this Policy at any given time. If you want to make sure that you are up to date with the latest changes, we advise you to frequently visit this page. If at any point in time Basta decides to make use of any personally identifiable information on file, in a manner vastly different from that which was stated when this information was initially collected, the user or users shall be promptly notified by email or by other means. Users at that time shall have the option as to whether to permit the use of their information in this separate manner.
This Policy applies to Basta, and it governs any and all data collection and usage by us in connection with our website www.projectbasta.com (the “Website”), Seekr, our AI-enabled career navigation tool that assesses the strengths of first-generation college students and recent graduates to build a personalized job search plan identifying specific job roles, employers, and industries to pursue, along with skills to develop and next steps to take (“Seekr”), and our career-readiness programs (together with the Website and Seekr, the “Services”). Enrolled students can access certain features and resources online through Seekr.
Basta is a voluntary, virtual program open to college students nationwide. To participate, applicants must be at least 18 years old and legally authorized to work in the United States. We partner with colleges, universities, and similar organizations, which enroll their students in Basta.
Please note that this Policy does not govern the collection and use of information by third party companies that Basta does not control, (for example, the colleges, universities, and other partner organizations that enroll students in Basta and maintain their own separate systems and privacy practices), or by individuals who are not employed or managed by us. If you visit a website that we mention or link to, be sure to review its privacy policy before providing the site with information. It is highly recommended and suggested that you review the privacy policies and statements of any website you choose to use or frequent to better understand the way in which websites garner, make use of and share the information collected.

1. WHAT PERSONAL INFORMATION WE COLLECT, WHY WE COLLECT IT, AND HOW IT IS USED
It is always up to you whether to disclose personal information to us, although if you elect not to do so, we reserve the right not to register you as a user or provide you with any Services. Our Services collect the following categories of information:
1.1. When You Register for Basta
Categories of personal information: contact and identifying information that you voluntarily provide, including your first name, last name, email address, inquiry role, message, information about how you heard about us, and any other information you choose to provide in connection with your registration.
Purposes: we use this information to register you for Basta and deliver the Services you have requested.
1.2. When You Register and Log In to Seekr
Categories of personal information: account credentials, including your email address and password, which you create to log in to Seekr.
Purposes: we use this information to authenticate your identity and provide you with access to Seekr. We store your password using industry-standard security measures and do not store it in plain text.
1.3. When You Use Seekr
Categories of personal information: career-activity information that you submit, create, or generate through Seekr, such as your job search log, cover letters you create, interview coaching notes, resume and cover letter feedback, and RSVPs to Basta career fairs and other events. We also collect technical and usage information through cookies and similar tracking technologies, such as information about how you interact with Seekr, your IP address, device type, and browsing behavior.
Purposes: we use this information to provide Seekr features, support your job search, and support your participation in Basta. Basta may also contact you regarding completing surveys and/or market research questionnaires related to your opinion of current or potential future services that may be offered.
1.4. When You Browse Our Website or Use Seekr
Categories of personal information: technical and usage information, such as the type of browser you use, your IP address, and the type of operating system you use.
Purposes: we use this information to provide and maintain the quality of our Website and Seekr. For Seekr, we also use this information to generate personalized career navigation guidance using artificial intelligence based on the information described above. If you have questions about how Seekr’s AI-enabled features work or about automated processing of your information, please contact us at info@projectbasta.com.
1.5. When We Receive Information About You from Third Parties
Categories of personal information: personal information about you that we receive from third-party sources, including colleges, universities, and similar organizations that partner with us to enroll their students in Basta, and other third parties such as marketing partners, publicly available sources, and data providers.
Purposes: we use this information for the purposes described in this Privacy Policy, depending on the context in which we receive it, including to administer and provide the Services, support Basta enrollment, communicate with you, and improve our outreach and Services.
1.6. When You Install or Use Basta Job FitFinder
Categories of personal information: information about your use of the extension, including role-fit insights, employers and job postings you view or save, and applications you track across the job sites you use.
Purposes: we use this information to provide the extension’s functionality. We also maintain records that allow us to distinguish users who have installed Basta Job FitFinder from users who have not.
1.7. When We Use Aggregated and De-identified Information for Basta Insights
Categories of information: aggregated, de-identified data derived from the use of the Website and Seekr, including data regarding the career-seeking behaviors and outcomes of first-generation college students.
Purposes: we use this information to identify trends across our partner organizations and student population (for example, what helps first-generation students land their first job), advocate for policies supporting first-generation college students, and share aggregated, de-identified insights with our college, university, and employer partners and with the public.
1.8. When You Apply to Join Basta’s Volunteer Force
Categories of personal information: whether you are a new or returning volunteer, your job title, your company, a link to your LinkedIn profile, the functions and industries in which you have expertise, the types of volunteer opportunities that interest you, such as informational or mock interviews, in-person or virtual events, panel opportunities, ongoing coaching, or subject-matter expertise, whether you are a first-generation college graduate, and whether you have experience interviewing early-career talent.
Purposes: we use this information to evaluate and process your volunteer application, match you with volunteer opportunities consistent with your areas of expertise and interests, and communicate with you regarding your participation in Basta’s Volunteer Force.
1.9. When You Apply for a Position with Basta
Categories of personal information: your first and last name, email address, phone number, resume, the role for which you are applying, how you learned about the opportunity, including, if applicable, the name of the friend, colleague, or other individual who referred you, a link to your LinkedIn profile, information about your location, including whether you are based in the New York tri-state area, and, if applicable, whether you are a Basta alumnus/a.
Purposes: we use this information to evaluate your candidacy, communicate with you regarding the status of your application, and otherwise administer our hiring process, including assessing role fit in light of location-based expectations, such as where a role requires in-person presence in New York City at least once per week. If you identify another individual as a referral source, we will use that individual’s name solely to acknowledge the referral.
1.10. When You Make Use of Our Website, Including to Request a Demo of Seekr or Use Seekr Lite
Categories of personal information: when you make use of our Website, we collect information via cookies, including, IP address, device details and what you do on our Website. Also, when you complete Website forms, we collect your name, email address, and any other information you choose to provide about your organization, career interests, or interest in Seekr.
Purposes: we use this information to provide you with the Website services, improve our Website and services, customize your experience, understand your usage of the Website, security purposes, to respond to your demo request, provide you with access to and information about Seekr or Seekr Lite, and follow up regarding your interest in our Services. With your consent, we may also use this information to send you promotional emails about Basta programs and services.
2. HOW WE SHARE OR DISCLOSE YOUR INFORMATION.
2.1. The personal information Basta gathers may be shared with our partners and other third parties.
2.2. We also share personal information about you with our affiliated companies.
2.3. We use third party service providers to process your personal information for the purposes outlined above, including, without limitation:
With cloud service providers for hosting purposes;
With websites and web content creation platforms in order to help us manage our Website;
With email providers, marketing, CRM, other similar tool providers;
With artificial intelligence tools and features; and
With analytic companies, in order to help us understand and analyze information we collect in accordance with this policy.
2.4. To the extent necessary, with regulators, courts, banks or competent authorities, to comply with applicable laws, regulations and rules (including, without limitation, federal, state or local laws), and requests of law enforcement, regulatory and other governmental agencies or if required to do so by court order, as well as for internal compliance procedures and to protect the safety, security, and integrity of Basta, our Services, customers, employees, property, and the public. We may use or disclose the personal information we collect in order to ensure that our users are complying with all applicable aspects of our policies.
2.5. We may disclose personal information with our lawyers, accountants, auditors and other professional advisors where necessary to obtain legal or other advice or otherwise protect and manage our business interests.
2.6. We may use or disclose the personal information to investigate, prevent, or take action regarding illegal activities, suspected fraud, cybersecurity threats, situations involving potential threats to the physical safety of any person, violations of this policy, as necessary to enforce our Terms of Service, as necessary to maintain, safeguard and preserve all the rights and property of Basta, or as otherwise required or allowed by law and regulations.
2.7. If, in the future, we sell or transfer, or we consider selling or transferring, some or all of our business, shares or assets to a third party, we will disclose your personal information to such third party (whether actual or potential) in connection with the foregoing events (including, without limitation, our current or potential investors). In the event that we are acquired by, or merged with, a third party entity, or in the event of bankruptcy or a comparable event, we reserve the right to transfer, disclose or assign your personal information in connection with the foregoing events.
2.8. Where you have otherwise provided your consent to us for sharing or transferring your personal information.
2.9. In the aggregate with other information in such a way that your identity cannot reasonably be determined.
3. HOW WE CONTACT YOU, AND HOW TO OPT OUT OF MARKETING COMMUNICATIONS
3.1. Service and account communications. We may contact you for non-marketing purposes, such as bug alerts, security notices, account issues, or updates to Basta’s products and services. In certain circumstances, we may also post a notice on our Website or through other public channels. Because these communications are necessary to operate our Services and keep your account secure, you cannot opt out of them while you continue to use our Services.
3.2. Marketing communications and newsletters. If you no longer wish to receive marketing emails or the Basta Newsletter from us, you can unsubscribe at any time by emailing info@projectbasta.com and letting us know you would like to opt out. If you wish to opt out of communications from a third-party, you will need to visit that website directly, as we cannot manage opt-outs on another organization’s behalf. Basta will continue to handle any personal information we already collected from you in accordance with this Policy, even after you unsubscribe for such other respective purposes.
4. CHILDREN DATA. Basta's Website is not directed to, and does not knowingly collect personal identifiable information from, children under the age of eighteen (18). If it is determined that such information has been inadvertently collected on anyone under the age of eighteen (18), we shall immediately take the necessary steps to ensure that such information is deleted from our system's database, or in the alternative, that verifiable parental consent is obtained for the use and storage of such information. Anyone under the age of eighteen (18) must seek and obtain parent or guardian permission to use this Website.
5. LINKS TO OTHER WEBSITES. Our Services may contain links to affiliate and other websites. Basta is not responsible for the privacy policies, practices, or procedures of any such other websites. We encourage all users and visitors to be aware when they leave our Services and to read the privacy policy of every website that collects personal information. This Privacy Policy applies only to information collected by our Services.
6. SECURITY
6.1. Basta takes precautions to protect your information. When you submit sensitive information via the Services, your information is protected using industry standard measures.
6.2. Only employees who need the information to perform a specific job (for example, answering your questions) are granted access to personally identifiable information. The computers and servers on which we store personally identifiable information are kept in an industry-standard secure environment. This is all done to prevent any loss, misuse, unauthorized access, disclosure or modification of the user's personal information under our control.
6.3. We also use Secure Socket Layer (SSL) for authentication and private communications to build users' trust and confidence in the internet, and the Services use by providing simple and secure access and communication of personal information.
7. YOUR PRIVACY CHOICES AND STATE PRIVACY LAW NOTICE
7.1. If you would like to access, correct, or request deletion of the personal information we hold about you, please contact us at info@projectbasta.com. We will respond to your request within a reasonable time. To protect your privacy, we may take steps to verify your identity before fulfilling your request. Subject to legal and other permissible considerations, we will make every reasonable effort to honor your request promptly in accordance with applicable law or inform you if we require further information in order to fulfil your request. When processing your request, we may ask you for additional information to confirm or verify your identity and for security purposes, before processing and/or honoring your request. We reserve the right to charge a fee where permitted by law, for instance if your request is manifestly unfounded or excessive. In the event that your request would adversely affect the rights and freedoms of others (for example, would impact the duty of confidentiality we owe to others) or if we are legally entitled to deal with your request in a different way than initially requested, we will address your request to the maximum extent possible, all in accordance with applicable law.
7.2. Deleting your account: Should you ever decide to delete your account, you may do so by emailing info@projectbasta.com. If you terminate your account, any association between your account and personal information we store will no longer be accessible through your account.
8. ANALYTIC TOOLS / COOKIES
8.1 Google Analytics. The Website and Seekr use a tool called “Google Analytics” to collect information about use of the Website and Seekr. Google Analytics collects information such as how often users visit this Website or Seekr, what pages they visit when they do so, and what other websites they used prior to coming to this Website or Seekr. We use the information we get from Google Analytics to maintain and improve the Website, Seekr and our products. We do not combine the information collected through the use of Google Analytics with information we collect. Google’s ability to use and share information collected by Google Analytics about your visits to this Website or Seekr is restricted by the Google Analytics Terms of Service, available here, and the Google Privacy Policy, available here. You may learn more about how Google collects and processes data specifically in connection with Google Analytics here. You may prevent your data from being used by Google Analytics by downloading and installing the Google Analytics Opt-out Browser Add-on, available here.
8.2 Amplitude. The Website and Seekr use a tool called "Amplitude" to collect information about use of the Website and Seekr. Amplitude collects information such as how users interact with the Website and Seekr, which features they use, and how often they visit. We use the information we get from Amplitude to maintain and improve the Website, Seekr, and our products. Amplitude's use and processing of this information is governed by Amplitude's privacy policy, available here.
8.3 We reserve the right to remove or add new analytic tools, cookies, pixels and other tracking technologies.

Project Basta Terms of Use
Welcome to the ARIZOU DBA Project Basta (“Project Basta”, “Basta”, “we”, “our” or “us”) website accessible via https://www.projectbasta.com/ (together with its subdomains, the “Website”) or the proprietary Seekr web platform (together with the Website, and all Materials, Marks, features and services, the “Platform”). Please read the following Terms of Use carefully before using the Platform so that you are aware of your legal rights and obligations with respect to Project Basta.
By accessing or using the Platform, you expressly acknowledge and agree that you are entering into a legal agreement with us, and that you have understood and agree to comply with, and be legally bound by, these Terms of Use, together with the Privacy Policy (collectively, the “Terms”). These Terms also apply to students who access or use the Platform. To the maximum extent permitted by law, you hereby waive any applicable rights to require an original (non-electronic) signature or the delivery or retention of non-electronic records. If you do not agree to be bound by these Terms, please do not access or use the Platform.
Notably, these terms constitute a binding agreement and include a mandatory arbitration and class action/jury trial waiver provision that requires the use of arbitration on an individual basis to resolve disputes, rather than jury trials or class actions, and limits the remedies available to you in the event of certain disputes.
By accepting these Terms, either by clicking a box indicating your acceptance, establishing an account, or using the Platform, you agree that you: (a) have read and understood these Terms; (b) represent that you are at least 18 years old; and (c) agree to be legally bound by these Terms.
Background. The Platform is a career readiness and employment connectivity platform designed to help you pursue strong early-career opportunities, connect with employers, and manage your job search.
Modification. To the maximum extent permitted by law, we reserve the right, at our discretion, to change these Terms at any time. Changes will be effective 10 days after posting the revised Terms on the Platform. Your continued use of the Platform after posting a revised version of the Terms means that you accept those changes. To the maximum extent permitted by law, we also reserve the right to change any service provided on the Platform, or the Platform itself, at our sole discretion, at any time. Such change will be effective immediately.
Ability to Accept Terms. The Platform is intended only for individuals aged 18 years or older. If you are under 18 years old, please do not visit or use the Platform. We reserve the right to suspend access to the Platform for any person who breaches this Section.
Platform Access. For such time as these Terms are in effect, we hereby grant you permission to access and use the Platform, provided that you comply with these Terms and applicable law, and do not violate, infringe, or misappropriate any third-party rights (including, without limitation, Intellectual Property Rights or privacy rights).
Restrictions. You shall not: (i) copy, distribute, or modify any part of the Platform, including, without limitation, developing, supporting, or using software, devices, scripts, robots, or any other means or processes (such as crawlers, browser plugins and add-ons, or any other technology) to scrape or copy the Platform, including any content or other data thereon, without our prior written authorization; (ii) use (except as permitted by these Terms), modify, create derivative works of, transfer (by sale, resale, license, sublicense, download, or otherwise), reproduce, distribute, display, or disclose Materials (as defined below); (iii) disrupt servers or networks connected to the Platform; (iv) use or launch any automated system (including, without limitation, “robots” and “spiders”) to access the Platform; (v) reverse engineer, disassemble, decompile, decode, adapt, or otherwise attempt to derive or gain access to any Platform source code, in whole or in part; (vi) circumvent, disable, or otherwise interfere with security-related features of the Platform, or features that prevent or restrict the use or copying of any Materials, or that enforce limitations on use of the Platform; (vii) upload, transmit, or otherwise make available any viruses, malware, or other malicious code; (viii) misrepresent your relationship with Basta, present false information about Basta, or imply that Basta endorses any services, products, or content, without our express prior written consent; and/or (ix) use the Platform in violation of these Terms, applicable law, or third-party rights.
Account. In order to use the Platform, you may be required to create an account (“Account”). You agree not to create an Account for anyone else, impersonate any person or entity, or use another person’s account without their permission. You must provide lawful, accurate, and complete information, including information regarding your qualifications, when creating your Account and at all times thereafter. You are solely responsible for the activity that occurs in your Account, and you must keep your Account password secure. You must notify Basta immediately of any security breach or unauthorized use of your Account. As between you and Basta, you are solely responsible and liable for the activity that occurs in connection with your Account. If you wish to deactivate your Account or inquire about your information, you may send an email request to Basta at info@projectbasta.com.
Payments to Basta. Your general right to access and use the Platform is currently provided to you free of charge, but Basta may, in the future, charge a fee for certain access or usage. You will not be charged for any such access to or use of the Platform unless you first agree to such charges, but please be aware that any failure to pay applicable charges may result in you losing access to some or all of the Platform.
AI Features. The Platform may use artificial intelligence, machine learning, and other automated technologies to offer you employment-related opportunities, personalize your experience, and identify potential matches between your profile or other information you provide and employment opportunities. You acknowledge and understand that, due to the nature of artificial intelligence and because this is a rapidly evolving field of study, the Platform may provide information, recommendations, matches, or other results that are inaccurate, incomplete, biased, offensive, inappropriate, or unsuitable for your goals. You should evaluate any information, recommendation, match, or other result provided by the Platform to determine whether it is appropriate for your use case, including through human review. To the maximum extent permitted by law, you shall release us from any liability in relation to the foregoing.
Intellectual Property Rights
9.1 Materials and Marks. The: (i) Platform and the content on the Platform, including, without limitation, the Intellectual Property Rights (as defined below), text, documents, articles, brochures, descriptions, products, software, graphics, photos, sounds, videos, interactive features, and services (collectively, the “Materials”); and (ii) trademarks, service marks, and logos contained therein (collectively, the “Marks”), are the property of Basta and/or its licensors and may be protected by applicable copyright or other intellectual property laws and treaties. “Basta”, “Project Basta”, “Seekr”, and related logos and marks are Marks of Basta or its affiliates. All other trademarks, service marks, and logos used on the Platform are the trademarks, service marks, or logos of their respective owners. We reserve all rights not expressly granted in and to the Platform, the Marks, and the Materials. “Intellectual Property Rights” means any and all rights, titles, and interests, whether foreign or domestic, in and to any and all trade secrets, patents, copyrights, service marks, trademarks, know-how, or similar intellectual property rights, as well as any and all moral rights, rights of privacy, publicity, and similar rights of any type under the laws or regulations of any governmental, regulatory, or judicial authority, foreign or domestic.
9.2. Use of Materials. Materials on the Platform are provided to you for your information and personal use only and may not be used, modified, copied, distributed, transmitted, broadcast, displayed, sold, licensed, de-compiled, or otherwise exploited for any other purpose whatsoever without our prior written consent. If you download or print a copy of the Materials, you must retain all copyright and other proprietary notices contained therein.
9.3. Feedback. We appreciate your feedback, comments, ideas, proposals, and suggestions for improvement. If you provide any of the above, we may implement or use it without restriction, obligation, or compensation to you.
9.4. Accuracy of Materials. We attempt to be as accurate as possible. However, we cannot and do not warrant that the Materials available on the Platform are accurate, complete, reliable, current, or error-free. We reserve the right to make changes to the Materials, or any part thereof, in our sole judgment, without being required to provide notice before or after making such changes. The Platform may also enable you to communicate and interact with Third Party Sources. “Third Party Source(s)” means: (i) third-party platforms, websites, services, and technologies; and (ii) prospective employers, our partners, and other third parties.
10.2. We are not affiliated with, and have no control over, any Third Party Sources. We do not assume any responsibility for the content, terms of use, privacy policies, actions, or practices of any Third Party Sources. Please read the terms of use and privacy policy of any Third Party Source that you interact with before engaging in any such activity.
10.3. We are not responsible for, and we expressly disclaim all warranties regarding, the accuracy, appropriateness, usefulness, safety, or Intellectual Property Rights of, or relating to, any Third Party Content.
10.4. We do not endorse any advertising, promotions, campaigns, products, services, or other materials that are included in any Third Party Content or that are communicated to you from a Third Party Source.

You agree to waive, and hereby do waive, any legal or equitable rights or remedies you may have against Basta, and to release Basta from any and all liability arising from your use of, and interaction with, any Third Party Content, and from your interaction with any Third Party Source. If you have any questions or complaints regarding a Third Party Source or any Third Party Content, you agree to contact the Third Party Source directly.
11. Disclosure. We reserve the right to access, read, preserve, and disclose any information that we obtain in connection with the Platform and your use thereof, which we reasonably believe is necessary to: (i) satisfy any applicable law, regulation, legal process, subpoena, or governmental request; (ii) enforce these Terms, including by investigating potential violations thereof; (iii) detect, prevent, or otherwise address fraud, security, or technical issues; (iv) respond to user support requests; or (v) protect the rights, property, or safety of Basta, its users, or the public.

13. Warranty Disclaimers
13.1. This Section applies whether or not the services provided under the Platform are provided for payment. Applicable law may not allow the exclusion of certain warranties, so to that extent, certain exclusions set forth herein may not apply.
13.2. THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND. BASTA HEREBY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THOSE ARISING BY STATUTE OR FROM A COURSE OF DEALING OR USAGE OF TRADE. BASTA DOES NOT GUARANTEE THAT THE PLATFORM OR THE MATERIALS WILL BE FREE OF BUGS, SECURITY BREACHES, OR VIRUS ATTACKS. THE PLATFORM AND THE MATERIALS MAY OCCASIONALLY BE UNAVAILABLE FOR ROUTINE MAINTENANCE, UPGRADES, OR OTHER REASONS. YOU AGREE THAT BASTA WILL NOT BE HELD RESPONSIBLE FOR ANY CONSEQUENCES TO YOU OR ANY THIRD PARTY THAT MAY RESULT FROM TECHNICAL PROBLEMS WITH THE INTERNET, SLOW CONNECTIONS, TRAFFIC CONGESTION, OR OVERLOAD OF OUR OR OTHER SERVERS. 13.3. THE PLATFORM MAY USE ARTIFICIAL INTELLIGENCE, MACHINE LEARNING, AND OTHER AUTOMATED TECHNOLOGIES TO PERSONALIZE YOUR EXPERIENCE AND PROVIDE EMPLOYMENT-RELATED OPPORTUNITIES. WHILE WE STRIVE TO ENSURE THAT THE PLATFORM OPERATES IN AN ACCURATE, FAIR, AND UNBIASED MANNER, IT IS IMPORTANT TO ACKNOWLEDGE THAT NO ARTIFICIAL INTELLIGENCE FEATURE IS PERFECT. YOU HEREBY ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED THAT THE PLATFORM MAY PROVIDE INFORMATION, RECOMMENDATIONS, MATCHES, OR OTHER RESULTS THAT ARE INACCURATE, INCOMPLETE, BIASED, OFFENSIVE, INAPPROPRIATE, OR OTHERWISE UNSUITABLE. YOU AGREE THAT BASTA WILL NOT BE HELD RESPONSIBLE FOR ANY CONSEQUENCES TO YOU OR ANY THIRD PARTY THAT MAY RESULT FROM YOUR USE OF, OR RELIANCE ON, SUCH INFORMATION, RECOMMENDATIONS, MATCHES, OR OTHER RESULTS.
13.4. WHILE THE PLATFORM MAY PROVIDE ACCESS TO CERTAIN INFORMATION, THE PLATFORM CANNOT, AND IS NOT INTENDED TO, PROVIDE ANY PROFESSIONAL ADVICE OF ANY KIND. THE PLATFORM MAY HELP CONNECT YOU WITH EMPLOYERS, BUT BASTA DOES NOT GUARANTEE THAT ANY EMPLOYER WILL CONTACT YOU, INTERVIEW YOU, MAKE AN OFFER, HIRE YOU, RETAIN YOU, OR TAKE, OR REFRAIN FROM TAKING, ANY ACTION. BASTA DOES NOT GUARANTEE THAT ANY EMPLOYER WILL NOT DISCRIMINATE AGAINST YOU OR OTHERWISE ACT UNLAWFULLY. YOU ARE SOLELY RESPONSIBLE AND LIABLE FOR YOUR USE OF THE PLATFORM AND/OR ANY INFORMATION PROVIDED THROUGH THE PLATFORM, AND FOR YOUR INTERACTIONS WITH ANY EMPLOYER OR OTHER THIRD PARTY.
13.5. EMPLOYERS ARE INDEPENDENT THIRD PARTIES. BASTA DOES NOT CONTROL AND IS NOT RESPONSIBLE FOR ANY EMPLOYER’S HIRING PROCESS, EMPLOYMENT DECISIONS, BACKGROUND CHECKS, COMMUNICATIONS, OFFER TERMS, ONBOARDING, WORKPLACE CONDITIONS, POST-HIRE CONDUCT, ANY DISPUTE BETWEEN YOU AND AN EMPLOYER, OR ANY OTHER ACT OR OMISSION BY AN EMPLOYER. EXCEPT AS EXPRESSLY STATED IN OUR PRIVACY POLICY, BASTA DOES NOT MAKE ANY REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE SECURITY OF ANY INFORMATION YOU MAY PROVIDE DURING YOUR USE OF THE PLATFORM.
14. Limitation of Liability
14.1. To the fullest extent permissible by law, Basta shall not be liable for any direct, indirect, exemplary, special, consequential, or incidental damages of any kind, or for any loss of data, opportunities, employment, revenue, profits, or reputation, arising under these Terms or out of your use of, or inability to use, the Platform, even if Basta has been advised of the possibility of such damages or losses. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.
14.2. In no event shall the aggregate liability of Basta for any damages arising under these Terms or out of your use of, or inability to use, the Platform exceed the total amount of fees, if any, paid by you to Basta for use of the Platform during the 3 months prior to bringing the claim.
15. Indemnity. To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Basta and our affiliates, and our respective officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including, but not limited to, attorneys’ fees) arising out of or relating to: (i) your use of, or inability to use, the Platform; (ii) any information or materials that you provide to us; (iii) your violation of these Terms; (iv) your violation or alleged violation of proprietary rights and/or any other third-party rights, including, without limitation, Intellectual Property Rights or privacy rights; (v) your violation of the terms of third parties associated with Third Party Content; (vi) your violation of any applicable law or regulation; and (vii) any dispute between you and any employer or other third party arising from your conduct.
16. Term and Termination. These Terms are effective until terminated by Basta or you. Basta, in its sole discretion, has the right to terminate these Terms and/or your access to the Platform, or any part thereof, immediately, at any time, with or without cause (including, without limitation, a breach of these Terms). Without derogating from any other provision of these Terms, in the event of any breach of these Terms, Basta reserves the right to suspend your access to the Platform and its services temporarily until such breach is cured, or indefinitely, if Basta deems it permitted. Suspension may occur without prior notice and is at Basta’s sole discretion. Basta shall not be liable to you or any third party for termination or suspension of the Platform, or any part thereof. If you object to any term or condition of these Terms, any subsequent modifications thereto, or become dissatisfied with the Platform in any way, your only recourse is to immediately discontinue use of the Platform. Upon termination of these Terms, you shall cease all use of the Platform. Sections 5 (Restrictions), 9 (Intellectual Property Rights), 10 (Third Party Content), 11 (Disclosure), and Sections 12 (Privacy) through 22(No Waiver) shall survive termination of these Terms.
17. Independent Contractors. You and Basta are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Basta. You must not under any circumstances make, or undertake, any warranties, representations, commitments or obligations on behalf of Basta.
18. Assignment. These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Basta without restriction or notice to you.
19. Mandatory Arbitration
19.1. In the event of any claim, controversy, or dispute under, or otherwise in connection with, these Terms (a “Dispute”), such Dispute shall be resolved exclusively by arbitration in accordance with Schedule A attached hereto. However, if the Dispute is not subject to arbitration (either because you opted-out of arbitration in the manner described in Schedule A, or because a court of competent jurisdiction determines that the agreement to arbitrate does not apply to you or the Dispute), then the Dispute shall be subject to the exclusive jurisdiction and venue of the competent courts located in New York, New York, and the parties hereby irrevocably and unconditionally submit to the personal jurisdiction of such courts and waive any jurisdictional, improper venue, inconvenient forum, or other objections to such jurisdiction and venue.
19.2. Regardless of any law to the contrary, you agree that any claim or cause of action arising under, or otherwise in connection with, these Terms must be filed within ONE (1) YEAR after such claim or cause of action arises, or else you agree that such claim or cause of action will be forever barred. Any claims or damages that you assert hereunder shall be enforceable only against Basta, and not against any other entity (such as Basta affiliates) or Basta’s officers, directors, representatives, employees, or agents. Moreover, if you are a consumer (as defined under the laws of your jurisdiction), these Terms are not intended to, and shall not, exclude or limit any mandatory rights you may have under the consumer protection laws of your jurisdiction.
20. Governing Law. These Terms and the relationship between you and Basta shall be governed by, and construed in accordance with, the laws of the State of New York, without regard to its conflict of laws principles.
21. Severability. These Terms constitute the entire agreement between you and Basta concerning the Platform. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of that provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.
22. No Waiver. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and a party’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. Nothing in these Terms is intended to cancel or limit your statutory rights that cannot be canceled or limited by applicable law; however, these Terms will be interpreted and applied to the maximum extent permitted by law.

SCHEDULE A
Mandatory Arbitration
Basta wants to address your concerns without the need for a formal legal dispute. Before filing a claim against Basta, you agree to try to resolve the Dispute informally by contacting us at info@projectbasta.com. If a Dispute is not resolved within 30 days after the email noting the Dispute is sent, you may initiate proceedings, as set forth in this Schedule A.
You and Basta agree that this agreement affects interstate commerce and that the enforceability of this Schedule A shall be both substantively and procedurally governed by and construed and enforced in accordance with the Federal Arbitration Act, 9 U.S.C. § 1 et seq. (the “FAA”), to the maximum extent permitted by applicable law.
Unless you and Basta expressly agree otherwise in writing, the arbitration shall take place in-person in New York, New York, except that if telephonic or other remote electronic means are available and permissible, then you may elect to conduct the arbitration via such means. You agree that: (a) any arbitration will occur in New York City, New York; (b) arbitration will be conducted confidentially by a single arbitrator in accordance with the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes (the “AAA Rules”) then in effect, except as modified by this “Dispute Resolution” section; and (c) that the state or federal courts in New York, New York, have exclusive jurisdiction over any appeals and the enforcement of an arbitration award. The arbitrator must honor the terms and conditions of this agreement (including, but not limited to, all liability exclusions and limitations) and shall not make any award or decision that is contrary to, or in excess of, what this agreement provides.

By agreeing to be bound by this agreement, you either: (a) acknowledge and agree that you have read and understand the rules of AAA; or (b) waive your opportunity to read the rules of AAA and any claim that the rules of AAA are unfair or should not apply for any reason.
The arbitrator’s decision must be in writing and will include the essential findings and conclusions upon which the award is based. Judgment on the arbitration award may be entered in any court having jurisdiction thereof. In the event any litigation should arise between you and Basta in any court in a proceeding to vacate or enforce an arbitration award, YOU AND BASTA HEREBY IRREVOCABLY WAIVE ALL RIGHTS TO A JURY TRIAL, instead electing that the proceeding be resolved by a judge. The arbitrator may award declaratory or injunctive relief only in favor of the plaintiff/claimant and only to the extent necessary to provide relief warranted by the plaintiff’s/claimant’s individual claim.
Regardless of who initiates arbitration for a Dispute, you will always remain responsible for your costs relating to counsel, experts, witnesses, and travel to the arbitration. We will not seek attorneys’ fees and costs in arbitration (unless the arbitrator determines the claims are frivolous).
All aspects of the arbitration proceeding, including but not limited to the decision and award of the arbitrator and compliance therewith, shall be strictly confidential. The parties agree to maintain its confidentiality, unless (and in such cases, only to the extent) otherwise required by applicable law. This paragraph shall not prevent a party from submitting to a court any information necessary to enforce an arbitration award or to seek equitable relief.
YOU ACKNOWLEDGE AND AGREE THAT, EVEN IF ANYTHING IN THE AAA RULES PERMITS OTHERWISE AND EVEN IF YOU OPT-OUT OF THIS AGREEMENT TO ARBITRATE:
A. YOU AND BASTA ARE HEREBY EACH IRREVOCABLY WAIVING THE RIGHT TO PARTICIPATE (FOR EXAMPLE, AS A CLASS REPRESENTATIVE OR CLASS MEMBER) IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER CLASS-WIDE OR REPRESENTATIVE ACTION OR PROCEEDING, AND THAT YOU MAY ONLY BRING A CLAIM IN YOUR INDIVIDUAL CAPACITY; AND
B. NO ARBITRATION WILL BE JOINED TO ANY OTHER ARBITRATION, AND THE ARBITRATOR MAY NOT CONSOLIDATE ANY INDIVIDUAL PARTY’S DISPUTE WITH ANY OTHER PARTY’S DISPUTE.
OPT-OUT: You can choose to reject this agreement to arbitrate (“Opt-out”) by emailing info@projectbasta.com within thirty (30) days after the date you agree to this agreement for the first time. The Opt-out email you send to us must state that you do not agree to this agreement to arbitrate and must include your name, address, phone number, and email address. Providing an Opt-out notice is the only way you can opt-out of this agreement to arbitrate. If you Opt-out of this agreement to arbitrate, all other provisions of the Terms will continue to apply, and you will not be permitted to invoke this agreement to arbitrate to resolve any Dispute with Basta.
To the extent any provision of this Schedule A is held by a court of competent jurisdiction to be illegal, invalid or unenforceable, you and Basta agree that the provisions of Section 21 (Severability) shall apply.
